Terms of Service

These terms are the agreement between Aeeiee Inc. and the organisation that uses 3mote. Please read them with our Privacy Policy, which explains how personal data is handled.

1. Agreement and acceptance

3mote is an all-in-one remote-work platform made available by Aeeiee Inc., a Delaware corporation, 131 Continental Drive, Suite 305, Newark, DE 19713, USA (“Aeeiee”, “we”, “us”). The organisation that signs up for a workspace is the “Customer”, and “you” means the Customer and, where the context requires, the individuals who use 3mote under it.

The Customer accepts these terms when it accepts an invitation to 3mote, creates a workspace, or first uses the service. The individual accepting on the Customer’s behalf confirms that they have authority to bind the Customer to these terms.

People who are invited to a workspace use 3mote under their organisation’s agreement and these terms.

“The service” means the 3mote web app, the iOS and Android apps, and the related website and support.

2. Private beta

3mote is in private beta, and access is by invitation. During the beta, features may change, be limited, or be withdrawn, and the service may be interrupted. The service is provided “as is” during the beta, as set out in section 12.

We welcome your reports of problems. Please send them to 3mote@aeeiee.com.

3. Accounts, roles and your organisation

Each workspace has owners and admins who manage its users, roles and guests. The Customer is responsible for:

  • the accuracy of the information given when the workspace is set up;
  • who it invites, and which role and permissions each person receives;
  • the activity of everyone who accesses the service through the Customer’s workspace; and
  • removing or deactivating people who should no longer have access.

You must keep your sign-in credentials secure and must not share them. Tell us promptly at 3mote@aeeiee.com if you become aware of any unauthorised use of an account or any other breach of security.

4. Plans, fees and limits

3mote is offered on three plans: Starter, which is free, and Standard and Premium, which are priced per user per month. Current prices and plan limits, including storage, wiki, chat-history and file-size limits, are set out on our pricing page.

Paid plans are billed as agreed when they are ordered. Fees do not include taxes, which the Customer is responsible for unless we have agreed otherwise in writing. Fees are non-refundable except where the law requires otherwise or where we agree in writing.

Each plan has limits. If a workspace goes over a limit, for example after moving to a lower plan, we do not delete anything automatically. New uploads are restricted until the workspace is back within its limits.

We may change our prices and plan limits. We will give notice of any change that affects a paid workspace in line with section 16.

5. Your content

“Customer Content” means everything that you or the people in your workspace put into 3mote, including cards, comments, chat messages, wiki pages, files, timesheets and client records.

The Customer owns its Customer Content. We claim no ownership of it.

The Customer grants Aeeiee a limited, non-exclusive licence to host, process, transmit and display Customer Content, only as needed to provide, secure and support the service for the Customer. We do not sell Customer Content.

The Customer is responsible for its Customer Content and for having the rights and permissions needed to put it into the service, including any notice or consent required for personal data about its own clients, colleagues and other people. Where we process personal data in Customer Content on the Customer’s behalf, the Privacy Policy explains our role.

6. Acceptable use

You must use 3mote lawfully and responsibly. You must not, and must not allow anyone else to:

  • upload or share content that is unlawful, or that infringes someone else’s rights;
  • introduce malware, or send spam;
  • harass, threaten or abuse other people;
  • attempt to breach or test the security of the service, or to access another workspace’s data or get around the isolation between workspaces;
  • scrape or harvest data from the service by automated means, except through interfaces we provide for that purpose;
  • reverse engineer, decompile or attempt to extract the source code of the service, except where the law allows it despite this restriction;
  • overload or disrupt the service or the systems that support it;
  • resell, sublicense or provide the service to third parties without our written agreement; or
  • use the service to build a competing product.

We may investigate suspected violations and take action under section 11.

7. Third-party services

3mote works with services operated by others, such as Google, Apple and Microsoft for sign-in, the Apple App Store and Google Play for the mobile apps, and the websites behind links whose previews appear in chat. Those services are governed by their own terms and privacy policies, and we are not responsible for them. Your use of them is at your own discretion and risk.

8. Mobile apps

If you install the 3mote app from the Apple App Store or Google Play, the store’s terms also apply to you. With respect to the iOS app, you acknowledge that these terms are between you and Aeeiee only, and not Apple. Apple has no obligation to provide maintenance or support for the app, and is not responsible for claims relating to it. Apple and its subsidiaries are third-party beneficiaries of these terms as they apply to the iOS app, and may enforce them against you.

9. Feedback

If you send us suggestions, ideas or other feedback about 3mote, we may use them freely, without obligation or compensation to you, to improve the service and our other products.

10. Confidentiality

Each party may receive non-public information from the other that is marked confidential or that a reasonable person would understand to be confidential, including Customer Content. The receiving party will use it only to perform or exercise its rights under these terms, will protect it with reasonable care, and will not disclose it except to people who need it and are bound to confidentiality, or as the law requires.

This section does not apply to information that is or becomes public through no fault of the receiving party, that the receiving party already knew or independently developed, or that it received lawfully from someone else.

11. Suspension and termination

The Customer may stop using 3mote at any time and may ask us to close its workspace by writing to 3mote@aeeiee.com.

We may suspend or end access, in whole or in part, if the Customer or its users breach these terms, if continued access poses a risk to the security or integrity of the service or to other users, if the law requires it, or if fees are not paid when due. Where reasonable, we will tell you first and give you the chance to put things right.

For 30 days after termination, the Customer can ask us for a copy of its Customer Content, and we will provide what we reasonably can in a commonly used format. After that, Customer Content is deleted or anonymised as described in the Privacy Policy. Sections that by their nature should survive termination will survive, including section 4 (as to fees owed), section 5 (as to ownership), sections 9 and 10, section 11 (as to export and deletion), sections 12 through 15, and section 18.

12. Disclaimers

To the extent permitted by law, the service is provided “as is” and “as available”. Aeeiee makes no warranties of any kind, whether express, implied or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title and non-infringement. We do not warrant that the service will be uninterrupted, error-free or free of harmful components, or that Customer Content will never be lost.

Some jurisdictions do not allow certain disclaimers, so some of the above may not apply to you.

13. Limitation of liability

To the extent permitted by law, neither party will be liable to the other for any indirect, incidental, special, consequential or punitive damages, or for lost profits or revenue, arising out of or relating to these terms or the service, even if advised of the possibility.

To the extent permitted by law, each party’s total liability arising out of or relating to these terms or the service will not exceed the greater of the fees the Customer paid to Aeeiee in the 12 months before the claim arose, or US$100.

Neither limitation in this section limits the Customer’s obligation to pay fees, the Customer’s indemnity under section 14, or liability that cannot be limited by law.

14. Indemnification

The Customer will defend and indemnify Aeeiee, and its officers, directors and employees, against claims, losses, damages and reasonable costs (including legal fees) that arise from third-party claims relating to the Customer Content, or to the Customer’s or its users’ misuse of the service or breach of these terms. Aeeiee will promptly tell the Customer of any such claim, and the Customer will not settle it in a way that admits fault on Aeeiee’s behalf without our consent.

15. Governing law and disputes

These terms are governed by the laws of the State of Delaware, USA, excluding its conflict-of-law rules. Any dispute arising out of or relating to these terms or the service will be brought exclusively in the state or federal courts located in Delaware, and each party consents to the jurisdiction of those courts.

16. Changes to these terms

We may update these terms. For material changes, we will notify the Customer at least 30 days before they take effect, by email to workspace owners or in the app. If you continue to use the service after the effective date, you accept the updated terms. If you do not accept them, you may stop using the service before they take effect.

17. Privacy

Our Privacy Policy explains what personal data we collect and how we use it, and it forms part of how we operate the service for you.

18. General

These terms, together with the Privacy Policy and any written order or data processing agreement we have agreed with the Customer, are the entire agreement between us about the service. If any part is found unenforceable, the rest remains in effect. A failure to enforce a provision is not a waiver of it. If a signed order form or data processing agreement conflicts with these terms, it prevails to the extent of the conflict. The Customer may not assign these terms without our written consent; we may assign them in connection with a merger, acquisition or sale of assets.
